This Risk Disclosure explains material risks related to Minerium Inc services, including mining pool services and BBP (Bitcoin Block Panning) participation features.

By using Minerium services, you acknowledge and accept these risks.

1. No Guaranteed Outcome

Mining-related participation is uncertain. No payout, reward, block discovery, or profit is guaranteed. You may receive no reward from a participation period or BBP session.

2. Market, Network, and Technical Risk

Mining outcomes may be affected by network difficulty, hashpower distribution, block timing variance, mempool conditions, fee volatility, infrastructure outages, latency, hardware issues, pool changes, and other technical events outside your control.

3. BBP Product Risk

BBP is access to defined mining participation and not a guaranteed outcome product. A valid BBP purchase does not guarantee a Bitcoin reward. If no eligible block discovery event occurs under published rules, no reward may be owed.

4. Payment and Settlement Risk

Payment processing may involve third-party providers, banking rails, and blockchain networks. Payment confirmation, settlement, and matching can be delayed or interrupted by provider outages, risk reviews, compliance checks, or network congestion.

5. Coinbase/USDC and Third-Party Provider Risk

Supported payment workflows may include USD rails, USDC on Base, Coinbase Business-supported workflows, Coinbase Developer Platform-supported workflows, and other approved providers.

Coinbase and related services are third-party providers. Unless expressly stated in writing by Coinbase, Coinbase does not sponsor, endorse, or guarantee Minerium services, legal positions, or user outcomes.

6. Wallet and Blockchain Transfer Risk

Wallet addresses and blockchain transfers require exact input. Wrong-network transfers, unsupported assets, incorrect address entry, expired payment windows, exchange withdrawal errors, or incompatible wallet behavior may cause delay or permanent loss.

Blockchain transactions are typically irreversible once confirmed. Minerium may be unable to recover incorrectly sent assets.

7. Legal, Tax, and Regulatory Risk

Laws and regulations may change and may differ by jurisdiction. Service availability and product terms may be restricted or changed based on compliance, sanctions, legal review, or business decisions.

You are responsible for understanding your own legal and tax obligations. Minerium does not provide personal legal or tax advice.

8. Security and Account Risk

You are responsible for safeguarding account credentials and wallet access. Unauthorized access, phishing, malware, SIM swap events, credential reuse, and device compromise can result in loss.

9. Operational and Incident Risk

Service interruptions may occur because of maintenance, software defects, third-party dependency failures, infrastructure incidents, or force majeure events. Minerium may suspend or restrict activity to preserve system integrity and compliance.

10. Recordkeeping and SOC 2 Readiness

To support processing integrity, security review, dispute handling, and SOC 2 Type II readiness, Minerium may maintain operational records, including checkout and order records, payment references, wallet/address records, blockchain transaction hashes, BBP session records, payout review records, reconciliation records, administrative logs, and incident records.

11. Changes to This Risk Disclosure

Minerium may update this Risk Disclosure from time to time. Updates become effective when posted unless a different effective date is stated.
