These Terms of Services (“Terms”) are a binding agreement between you and Minerium Inc (“Minerium”, “we”, “us”, or “our”) and govern your access to and use of our website, applications, and services, including mining pool services and BBP (Bitcoin Block Panning) participation features (collectively, the “Services”).
By creating an account or using the Services, you accept these Terms.

2. Eligibility
You must be at least 18 years old and legally capable of entering into contracts in your jurisdiction. You may not use the Services if prohibited by applicable law.
3. Account Registration and Security
- You are responsible for providing accurate account information and keeping it updated.
- You are responsible for maintaining confidentiality of login credentials and for all activity under your account.
- Minerium may require identity verification (KYC/AML) and additional information as required by law or risk controls.
- You must notify us immediately of suspected unauthorized account use.
4. Services and Risk Disclosure
Minerium provides technical and operational services for mining-related participation. BBP, solo mining, and hybrid mining features involve uncertainty and risk. Outcomes are not guaranteed, and you may receive no reward from a given participation period.
You acknowledge and agree that:
- participation in mining-related services is speculative and may result in losses;
- network conditions, difficulty, block timing, infrastructure, and market changes can materially affect outcomes;
- past performance does not guarantee future results;
- Minerium does not provide investment, legal, tax, or financial advice.
5. Fees, Charges, and Payments
You agree to pay all applicable fees and charges displayed or communicated through the Services. Minerium may update fees from time to time by posting updated pricing or otherwise notifying users. Continued use of the Services after fee updates means you accept the updated fees.
Supported payment methods may include USD payment rails, USDC on Base, Coinbase Business-supported workflows, Coinbase Developer Platform-supported workflows, payment links, invoices, approved internal gateways, or other methods enabled by Minerium.
A payment event is not final unless Minerium confirms that payment was received, matched, verified, and recorded against the applicable order, session, invoice, or checkout record.
Minerium may delay or reject processing for late, underpaid, overpaid, wrong-network, unsupported-asset, suspicious, restricted-source, or otherwise non-compliant payments.
6. Coinbase, USDC, and Third-Party Providers
Minerium may use Coinbase Business, Coinbase Developer Platform, Base network tooling, blockchain infrastructure providers, banks, accounting tools, monitoring tools, hosting providers, and fraud-prevention providers.
Coinbase and related services are third-party providers to Minerium. Unless Coinbase provides express written confirmation, Coinbase does not sponsor, endorse, approve, validate, license, legally clear, or guarantee Minerium, BBP, mining outcomes, legal positions, securities positions, gaming positions, custody positions, money-transmission positions, tax positions, or user outcomes.
If USDC payment is offered, you must send the exact supported asset on the exact supported network shown at checkout. For example, if checkout specifies USDC on Base, only supported USDC on Base should be sent. Unsupported assets, wrong-network assets, or incorrect transfer instructions may result in loss, delay, or non-recovery.
7. BBP Cross-Reference and Product Rules
These Terms apply to all Services, including BBP.
BBP-specific product mechanics, checkout acknowledgments, session configuration, reward eligibility, payout controls, refund handling, and additional operational rules are governed by the BBP Terms available at https://minerium.com/bbp-terms/.
If a BBP-specific rule in the BBP Terms conflicts with a general statement in these Terms, the BBP-specific rule governs for that BBP feature or transaction, to the extent permitted by law.
8. Taxes and Compliance
You are solely responsible for determining, reporting, and paying any taxes applicable to your use of the Services, except where law requires Minerium to collect, withhold, or remit amounts.
You agree to provide requested information needed for compliance, accounting, tax, fraud prevention, and lawful operations.
9. Prohibited Conduct
You may not:
- use the Services for unlawful, fraudulent, deceptive, or abusive purposes;
- attempt unauthorized access, reverse engineering, data scraping, or interference with Service operations;
- bypass security controls or use malware, bots, or harmful automation;
- infringe intellectual property or other rights;
- use the Services in violation of sanctions, export controls, AML laws, or other applicable regulations.
10. Suspension and Termination
Minerium may suspend, restrict, or terminate access to all or part of the Services at our discretion, including for legal compliance, security, policy violations, risk events, payment issues, or suspected fraud/abuse.
11. Product Integrity Records and SOC 2 Readiness
Minerium may maintain operational and audit records to support service integrity, security review, accounting controls, dispute handling, legal compliance, and SOC 2 Type II readiness.
These records may include, where applicable:
- account and authentication records;
- checkout and order records;
- payment intent and processor references;
- Coinbase and third-party payment references;
- wallet and address records;
- blockchain transaction hashes;
- reward and payout approval records;
- reconciliation records;
- administrative action logs;
- incident and response records;
- change-management records.
Minerium may retain records for as long as needed for business, security, legal, tax, accounting, incident-response, regulatory, and audit purposes.
12. Intellectual Property
All content, software, branding, interfaces, and materials in the Services are owned by Minerium or its licensors and are protected by applicable intellectual property laws. Except for limited rights to use the Services under these Terms, no rights are granted to you.
13. Third-Party Services
The Services may rely on or link to third-party services, networks, wallets, processors, or tools. Minerium is not responsible for third-party availability, security, performance, policies, or losses caused by third-party systems.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, or error-free operation.
15. Limitation of Liability
To the maximum extent permitted by law, Minerium and its affiliates, officers, directors, employees, agents, and service providers are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, data, goodwill, opportunities, or digital assets.
To the maximum extent permitted by law, Minerium’s total aggregate liability for all claims related to the Services will not exceed the total fees paid by you to Minerium for Services in the twelve (12) months preceding the event giving rise to the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless Minerium and its affiliates, officers, directors, employees, agents, and service providers from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Services, your violation of these Terms, or your violation of law or third-party rights.
17. Governing Law and Venue
These Terms are governed by the laws of the United States and the State of Nevada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Las Vegas, Nevada, unless applicable law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. Updated Terms become effective when posted (or on the stated effective date). Your continued use of the Services after updates means you accept the revised Terms.
